Terms & Conditions

1. Membership & Access

The details, duration, assigned seating, and scope of services provided are strictly defined by the individual membership plan agreed upon at enrollment. These terms govern the use of the facilities.

• Facility Usage: Members are exclusively entitled to use the facilities, equipment, and services specified under their subscribed membership tier.
• Non-Transferability: Access privileges are valid only for the registered Member or their pre-approved team and cannot be transferred, shared, or sublet to any third party.
• Registered Address: Using the workspace address as a registered company address, mailing address, or official domicile requires explicit prior written approval from Mathias Venture Studios LLP management.

2. Payments & Fees

Timely payment is essential to maintain continuous service access.

• Due Date: All monthly membership fees must be paid in full and in advance of the service period, no later than the **5th of each calendar month**.
• Late Payment Penalties: Payments received after the due date will automatically attract the following charges:
  • A one-time late fee of **₹5,000**.
  • Interest charges of **2% per month** levied on the total outstanding amount.
• Suspension of Services: If payment remains incomplete by the **10th of the month**, access cards, key fobs, and internet services may be suspended without further notice.
• Reactivation: A mandatory reactivation charge of **₹5,000** will apply after service suspension before access is restored.
• Taxes: All stated fees, charges, and deposits are exclusive of applicable Goods and Services Tax (GST) or other statutory taxes.

3. Security Deposit

A refundable, non-interest-bearing security deposit, equivalent to one or more months of fees (as specified in the contract), is required upon sign-up to cover potential liabilities.

The deposit may be partially or fully withheld for:

• Payment defaults
• Damages to property
• Breach of agreement
• Indemnity obligations

The balance of the security deposit will be processed for refund within **30 days** after the official contract termination and handover of the space.

4. Member Obligations

Members agree to adhere strictly to the community and facility rules:

• Permitted Use: Use the workspace facilities strictly for lawful, professional, and business activities.
• Prohibited Activities: Avoid all illegal, hazardous, offensive, or disruptive activities, including excessive noise or conduct detrimental to other members.
• Conduct and Respect: Maintain a high standard of hygiene, cleanliness, and professionalism, and always respect the privacy and working environment of other members.
• Safety: Do not store, introduce, or bring any hazardous, combustible, dangerous, or illegal items onto the premises.
• Reputation: Refrain from any action that could cause nuisance, damage, or reputational harm to Mathias Venture Studios LLP.
• Data and Privacy: Maintain strict confidentiality regarding information, documents, or data belonging to other members or their businesses.
• Statutory Compliance: Ensure their respective business operations are fully compliant with all applicable local labor, licensing, and statutory requirements.

5. Liability & Indemnity

Members acknowledge and agree that they are solely responsible for their own personal safety, belongings, professional data, and business activities within the premises.

Mathias Venture Studios LLP is **not liable** for any indirect, incidental, or consequential damages, including, but not limited to, loss of property, business interruption, loss of profits, or data corruption.

The Member shall **indemnify and hold harmless** Mathias Venture Studios LLP against any claims, damages, or losses arising from the Member's misuse of the facilities, breach of these terms, or any unlawful actions.

6. Termination

• Member Termination: Members may terminate this agreement after completing the minimum contract validity period by providing a minimum of **30 days’ written notice**.
• Breach of Notice/Lock-in: Failure to provide adequate notice or breach of the minimum lock-in period may result in the automatic forfeiture of the entire security deposit.
• Studio Termination: Mathias Venture Studios may terminate the membership for convenience (with 30 days’ notice) or immediately upon written notice in case of a material breach of these Terms by the Member.
• Exit Obligations: Upon termination, the Member must immediately remove all personal belongings, clear all outstanding dues, and officially de-register the workspace address as their company address.

7. Confidentiality

All parties agree to keep confidential any proprietary or sensitive information shared or accessed during the course of their membership, including information related to the business operations of the Studio or other members, unless disclosure is strictly required by law.

8. Amendments

Mathias Venture Studios LLP reserves the right to revise, update, or amend the pricing, policies, and these Terms & Conditions from time to time. Such changes will typically apply beyond the initial agreement period. Continued use of the space after receiving notification of amendments implies explicit acceptance of the revised terms.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of India. Any and all disputes arising out of or in connection with these Terms shall fall under the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
